Eurobank Ergasias S.A. (hereafter “Eurobank”) announces, pursuant to article 7a (par.6 c) of Law 3864/2010 and article 14 of Law 3556/2007, as in force, the following:
Based on the information received from the company «The Capital Group Companies, Inc.» (hereafter «Capital») on February 21, 2015, and February 24, 2015, Capital held indirectly on February 19, 2015, 1,550,240,680 voting rights of Eurobank’s ordinary shares, whereas, on February 20, 2015, the voting rights of Eurobank’s ordinary shares held indirectly by Capital amounted to 1,467,221,714.
Specifically, with the above information Capital notified for the following:
Α. On February 19, 2015, pursuant to article 7a (par.6 c) of Law 3864/2010, a reduction occurred in the percentage of Eurobank’s voting rights held indirectly by Capital, as compared to its latest relevant notification, greater than 3% of the total number of Eurobank’s voting rights, excluding those held by the Hellenic Financial Stability Fund (hereafter “HFSF”), and Capital’s percentage of voting rights amounted to 16.3186%. The above percentage relates to:
- 1,489,012,680 voting rights of «Capital Research and Management Company» (hereafter «CRMC»)*, a company controlled by Capital, corresponding to 15.6741% of the total Eurobank’s voting rights, excluding those held by the HFSF.
- 61,228,000 voting rights of «Capital Group International, Inc.» (hereafter «CGII»)**, a company controlled by Capital, corresponding to 0.6445% of the total voting rights, excluding those held by the HFSF.
Β. On February 20, 2015, pursuant to article 14 of Law 3556/2007, the percentage of Eurobank’s voting rights held indirectly by Capital fell below the threshold of 10% of the total number of Eurobank’s voting rights, and Capital’s percentage of voting rights amounted to 9.9758%, including the voting rights held by HFSF. The above percentage relates to:
- 1,431,587,936 voting rights of CRMC*, corresponding to 9.7335% of the total Eurobank’s voting rights.
- 35,633,778 voting rights of CGII**, corresponding to 0.2423% of the total Eurobank’s voting rights.
- 35,633,778 voting rights of CGII**, corresponding to 0.2423% of the total Eurobank’s voting rights.
* CRMC manages equity assets for various investment companies.** The voting rights are controlled by 3 subsidiaries of CGII, which are acting in their capacity as investment managers on behalf of international institutional clients.
