“Eurobank Ergasias Services and Holdings S.A.” (Company) announces that the Boards of Directors (BoD) of the Company and its subsidiary Eurobank S.A. (Bank), at their meetings of 10.12.2020, received the following decisions:
(a) Following the appointment of Mr. Andreas Athanasopoulos as Group Chief Transformation Officer of the Bank on 1.12.2020 and the relevant announcement that was published on the same day, appointed Mr. Andreas Athanasopoulos as Deputy Chief Executive Officer and Executive Member of the Company’s and the Bank’s BoD as well as member of the Strategic Planning Committee, in replacement of the resigned since 3.4.2020 executive member Mr. Theodoros Kalantonis.
(b) Appointed Ms. Cinzia Basile as independent non-executive member of the BoD of the Company and the Bank, according to the independence criteria of article 4 of L. 3016/2002, in replacement of the resigned as of 10.12.2020 independent non-executive member Mr. George Myhal.
The term of office of the two new members is equal to the remaining term of the resigned members.
It is pointed out that Mr. Andreas Athanasopoulos, following his appointment as Deputy Chief Executive Officer and Executive Member of the Company’s and the Bank’s BoD as well as member of the Strategic Planning Committee, he was also appointed as a member of the Executive Board of the Bank.
With regard to Ms. Cinzia Basile in particular, she has extensive executive experience of more than 22 years in the banking and wider financial sector. From 12/2017 until today she is the BoD Chairman of My Community Bank (trade name of Brent Shrine Credit Union Limited), a nationwide credit union operating in the UK that specializes in savings and loans. Ms. Basile has also set up and ran Credit Suisse AG’s Investment Bank multi-asset investment management business (Custom Markets) in the U.K., Ireland and Luxembourg, initially joining the organization in 2001. Ms. Basile has also extensive Board experience having served as Non-Executive Director and Committee member in various financial institutions such as My Community Bank, Nikko Asset Management Europe (asset management company), Creditis Service S.p.A. (financial intermediary focusing on personal loans) and Zenith Service S.p.A. (financial intermediary specialized in managing structured finance transactions in Italy) as well as for several Credit Suisse subsidiaries.
The BoDs and the Management of the Company and the Bank would like to warmly thank Mr. George Myhal for his presence and valuable contribution to Eurobank Group and wish the new BoD members of both companies, namely Ms. Cinzia Basile and to Mr. Andreas Athanasopoulos, every success in their new duties.
Finally, the final appointment of Mrs. Basile as independent non-executive member of the BoD of the Company and the Bank will be decided in accordance with the law by the next General Meetings of their shareholders respectively, while the appointment of Mr. Athanasopoulos in the BoD of the Company and the Bank will be announced to the next General Meetings of their shareholders respectively. Regarding the review process of the new members of the BoDs by the Single Supervisory Mechanism of the European Central Bank, the relevant procedure under the legislative and regulatory framework will be followed.
